Do you fully understand the effects of each term in your contract or are they merely copied and pasted from another source? This presentation will explore and analyze commonly used contract terms that are often overlooked or not fully understood by the drafter. By gaining an increased understanding of these terms, the drafter can avoid, or at a minimum, better position his client for potential future disputes. Specific terms to be discussed may include: backdating, legal definitions of common terms such as “affiliate” or “subsidiary,” commercially reasonable or best efforts clauses, contractual limitations on damages, integration clauses, indemnification provisions and venue/jurisdiction clauses.
